CONSIGNMENT CONTRACT OF STONE PRODUCT

　　甲方經(jīng)研究，同意乙方代銷其專有石材產(chǎn)品____。為明確雙方權(quán)利義務(wù)，保護(hù)當(dāng)事人雙方的合法權(quán)益，特訂立如下條款：
　　Party A agrees to let Party B sell its proprietary stone products, namely: ____on consignment basis. In order to specify the duties and responsibilities, legitimate rights and interests of both Parties, Party A and Party B both agree to the provisions herein set forth:
　　1. 甲方提供產(chǎn)品樣品和產(chǎn)品批發(fā)價(jià)給乙方。樣品的擺設(shè)和產(chǎn)品的銷售場(chǎng)所由乙方提供，乙方按實(shí)際銷量向甲方進(jìn)貨。產(chǎn)品的零售價(jià)乙方有自定權(quán)。
　　Party A agrees to supply Party B the product samples and wholesale price lists. Party B shall provide the sales venue and be responsible for the display of product samples. Party B shall purchase from Party A , the actual quantity sold, the retail prices shall be fixed by Party B.
　　2. 甲方發(fā)貨地點(diǎn)____, 乙方的收貨地點(diǎn)____, 其間的運(yùn)輸費(fèi)用由甲方承擔(dān)。
　　Product dispatching point of Party A____ , Product receiving point of Party B ____ Transportation charges between the two points shall be paid by Party A.
　　3. 甲，乙雙方按實(shí)際情況協(xié)商交貨時(shí)限。
　　Party A and Party B shall negotiate the delivery time based on actual situations.
　　4. 甲方發(fā)貨___日內(nèi)，乙方必須把貨款匯至甲方指定帳號(hào)，甲方貨款按批發(fā)價(jià)結(jié)算。零售價(jià)與批發(fā)價(jià)的差額歸乙方所有。
　　Within ____days after the dispatch of goods, Party B shall remit payment to Party A’s specified bank accounts. Payment of goods shall be based on wholesale prices and the difference in amount between retail and wholesale prices shall go to Party B.
　　5. 代銷期限：從___年__月___日至____年___月___日止。在合同期滿 30 日內(nèi)，甲乙任何一方未對(duì)合同結(jié)束通知時(shí)，本合同自動(dòng)延長(zhǎng)一年。若合同期滿不繼續(xù)合作，乙方不得把代理的權(quán)利轉(zhuǎn)給他人，本行業(yè)的相關(guān)信息也不能向第三方泄露，甲方收回所有未售商品。(包括樣品)
　　This consignment: Contract shall be effective from ____to _____. Within 30 days after the expiry date of this Contract, if neither Party A nor Party B receives any Contract termination notice, this Contract shall be automatically extended for one more year. In the event of both Parties agree to terminate the Contract after the expiry date, the consignment rights of Party B shall not be transferable, and Party B shall not reveal to third party ,all the confidence information relating to this industry. Party A shall recall all unsold goods (samples inclusive)
　　6. 甲方給乙方的批發(fā)價(jià)是內(nèi)定價(jià)格，乙方要作為商業(yè)機(jī)密進(jìn)行保密。
　　The wholesale prices supplied by Party A to Party B are trade secrets; Party B shall not reveal it to anyone.
　　7. 甲方可根據(jù)原材料物價(jià)等的變動(dòng)，變更產(chǎn)品的批發(fā)價(jià)格。在乙方訂貨前先行告知。
　　Party A reserves the rights to adjust the product prices in accordance with price fluctuations of raw materials; but prior notice shall be given to Party B.
　　8. 乙方要充分掌握甲方的產(chǎn)品知識(shí)，如因銷售過程中對(duì)產(chǎn)品知識(shí)認(rèn)識(shí)不足導(dǎo)致與客戶間的糾紛，甲方不承擔(dān)任何連帶責(zé)任。
　　Party B shall be well versed in product knowledge. Party A shall not be jointly liable for any sales dispute between customers and Party B arising out of this cause.
　　9. 甲方在產(chǎn)品出廠前對(duì)質(zhì)量進(jìn)行嚴(yán)格的質(zhì)量合格檢驗(yàn)，甲方負(fù)責(zé)發(fā)貨，在運(yùn)輸過程中如出現(xiàn)產(chǎn)品損壞，甲方按相關(guān)規(guī)定向承運(yùn)方追究責(zé)任。乙方不承擔(dān)責(zé)任。
　　Party A shall perform stringent quality checks on all products before shipment. Party B shall not be responsible for any damages to products during transportation; Party A shall claim indemnities from the carrier according to regulations.
　　10. 乙方銷售場(chǎng)地、帳號(hào)和法人代表變動(dòng)時(shí)，必須事前通知甲方。
　　Prior notice shall be given to Party A by Party B in the event of changes in sales venue, bank accounts or its legal representative.
　　11. 如果合同未規(guī)定的情況發(fā)生，或者合同條款解釋有異議處，雙方應(yīng)有誠(chéng)意地協(xié)商解決。如果本合同帶來不可預(yù)知的糾紛，約定通過甲方所在地的仲裁機(jī)構(gòu)進(jìn)行解決。
　　In the event of unspecified incidence, or conflicting interpretations to this Contract occurs, both Parties shall resolve amicably. Any unforeseen dispute arising out of this Contract shall be resolved by the regional arbitration organization of Party A.
　　作為本合同的證據(jù)，甲、乙雙方簽名蓋章生效。本合同一式兩份，甲乙雙方各保留一份。
　　This Contract shall be effective with both Parties’ signatures and seals attached hereunder.
　　This Contract is in duplicate, Party A and Party B shall hold one each.
