　　一、定義 Definition of Terms
　　貨物”又稱(chēng)“合同貨物”或“合同設(shè)備”指賣(mài)方根據(jù)合同應(yīng)提供的設(shè)備、零部件、裝置、材料、備品備件、專(zhuān)用工器具、圖紙、資料和所有各種物品的總稱(chēng)。
　　"Goods", also called "contract Goods" or "Contract Equipment" means the equipment, parts, device, materials, spare parts, drawings, information and a variety of items.
　　項(xiàng)目現(xiàn)場(chǎng)：海上風(fēng)電場(chǎng)(潮間帶)100MW示范項(xiàng)目工程現(xiàn)場(chǎng)(詳見(jiàn)技術(shù)協(xié)議);
　　Project Site: Offshore Wind Farm (Intertidal Zone) 100MW Demonstration Project Corporation (see Technical Agreement for details)
　　預(yù)驗(yàn)收：指賣(mài)方提供的設(shè)備安裝和安裝過(guò)程中的全部測(cè)試完畢(不含功率曲線和可利用率)。
　　Pre-acceptance means the completion of the equipment installation and all tests in the process of installation provided by the Seller (excluding power curve and availability).
　　最終驗(yàn)收：指全部風(fēng)機(jī)質(zhì)量保證期結(jié)束時(shí)的驗(yàn)收，由買(mǎi)方向賣(mài)方簽發(fā)最終驗(yàn)收證書(shū)。
　　Final acceptance refers to the acceptance at the expiration of warranty periods of all the wind turbines and shall be confirmed by a final acceptance certificate issued by the Buyer to the Seller.
　　試運(yùn)行：是指合同貨物調(diào)試結(jié)束后，預(yù)驗(yàn)收證書(shū)簽署前機(jī)組的運(yùn)行。
　　Commissioning means the operation of the Contract Goods between the end of commissioning and the issuance of a pre- acceptance certificate.
　　買(mǎi)方監(jiān)造：指買(mǎi)方有權(quán)自付費(fèi)用派代表到買(mǎi)方工廠進(jìn)行監(jiān)造，賣(mài)方提供相應(yīng)的食宿等方便。
　　Supervision of the Buyer means that the Buyer has the right to send representatives to the Buyer's factory at its own expense to supervise manufacture while the Seller provides appropriate accommodation and other conveniences.
　　二、價(jià)格與保證金 Price and Advance Payment
　　合同總額 (美元) Contract Price (USD) TOTAL Says: USD Only.
　　除本合同另有約定外，貨物總價(jià)已包含購(gòu)買(mǎi)貨物及售后服務(wù)所發(fā)生的所有費(fèi)用，包括但不限于運(yùn)保費(fèi)、卸貨吊裝到最終目的地費(fèi)用、配套資料費(fèi)、安裝調(diào)試費(fèi)用、項(xiàng)目驗(yàn)收時(shí)的試劑耗材和強(qiáng)制性第三方監(jiān)督檢驗(yàn)機(jī)構(gòu)的驗(yàn)收檢驗(yàn)費(fèi)用以及免費(fèi)保修期內(nèi)的售后服務(wù)費(fèi)用等。
　　Unless otherwise stipulated herein, the total price of the goods has included any and all fees arising from the purchase of goods and the after-sale service, including but not limited to the freight and transportation fee, costs resulting from unloading and loading to the final destination, supporting information fee, installation and commissioning fee, reagent consumable materials fee incurred in the project inspection, inspection and test fee imposed by the third party supervision and inspection authority as well as the after-sale service fee incurred during the free warranty period.
　　預(yù)付款保證金金額：合同總價(jià)的百分之五(5%)。賣(mài)方應(yīng)在合同簽署后七天內(nèi)，向買(mǎi)方提交合同條款中所規(guī)定金額的預(yù)付款保證金。預(yù)付款保證金應(yīng)采用人民幣，并采用下述方式提交：銀行保函，由買(mǎi)方可接受的在中華人民共和國(guó)注冊(cè)和營(yíng)業(yè)的銀行，或外國(guó)銀行通過(guò)在中華人民共和國(guó)注冊(cè)和營(yíng)業(yè)的銀行提交。其格式采用招標(biāo)文件提供的格式或其他買(mǎi)方可接受的格式。
　　Advance payment bond shall be equal to 5% of the total contract price. The advance payment bond stipulated by the Contract shall be delivered by the Seller to the Buyer within seven (7) days after the signature of the Contract. Performance bond shall be denominated in Renminbi ("RMB") and delivered in the following manner:　Bank guarantee shall be submitted by the banks acceptable by the Buyer and registered and operated in the People's Republic of China or via the banks registered and operated in the People's Republic of China at the request of foreign banks. It shall be in the form prescribed in the tendering documents or other forms acceptable to the Buyer.
　　在賣(mài)方提供的首批設(shè)備進(jìn)場(chǎng)移交并簽署交貨驗(yàn)收單后十五天內(nèi)，買(mǎi)方將把預(yù)付款保證金退還賣(mài)方。履約保證金金額：合同總價(jià)的百分之五(5%)。賣(mài)方應(yīng)在合同簽署后七天內(nèi)，向買(mǎi)方提交合同條款中所規(guī)定金額的履約保證金。履約保證金應(yīng)采用人民幣，并采用下述方式提交：在賣(mài)方提供的全部設(shè)備預(yù)驗(yàn)收合格后十五天內(nèi)，買(mǎi)方將把履約保函退還賣(mài)方。
　　The Buyer shall return advance payment bond to the Seller within 15 days after the delivery of the first batch of equipment and the signing of the letter of acceptance. Amount of performance bond shall be equal to 5% of the total contract price The performance bond shall be delivered by the Seller to the Buyer in an amount as stipulated in the contract within 7 days after the signature of the Contract. The performance bond shall be denominated in Renminbi ("RMB") and delivered in the following manner: The buyer shall return performance guarantee to the Seller within 15 days after all the equipment supplied by the Seller have been checked and accepted as qualified.
　　三、設(shè)備交付 Delivery of Equipment
　　合同貨物運(yùn)至項(xiàng)目現(xiàn)場(chǎng)(賣(mài)方車(chē)板交貨)后，賣(mài)方指導(dǎo)下的買(mǎi)方卸貨、雙方共同的開(kāi)箱、檢查、清點(diǎn)、驗(yàn)收、買(mǎi)方簽署設(shè)備交付清單等相關(guān)工作。買(mǎi)方向賣(mài)方簽署設(shè)備交付清單后，該批貨物的產(chǎn)權(quán)歸屬買(mǎi)方，但不得減少或免除合同規(guī)定的賣(mài)方的其他義務(wù)和責(zé)任。賣(mài)方應(yīng)負(fù)責(zé)辦理、支付將貨物運(yùn)至項(xiàng)目現(xiàn)場(chǎng)一切運(yùn)輸事項(xiàng)，相關(guān)費(fèi)用已包括在合同總價(jià)中。
　　The unloading by the Buyer under the guidance of the Seller and other related work performed by the Seller and the Buyer, such as unpacking, inspection, stocktaking, acceptance and signing on the delivery list of equipment by the Buyer after the Contract Goods has been carried to the project site. Upon signing on the delivery list of equipment by the Buyer, the property rights of the goods shall be proprietary to the Buyer, but shall not reduce or relieve the Seller 's other obligations and responsibilities under the Contract. The Seller shall be responsible for handling and paying all transportation matters concerning delivery of the goods to the project site , the relevant cost is included in total contract price.
　　本合同下交付的貨物應(yīng)符合技術(shù)規(guī)格所述的標(biāo)準(zhǔn)。如果沒(méi)有提及適用標(biāo)準(zhǔn)，則應(yīng)符合中華人民共和國(guó)官方標(biāo)準(zhǔn)，這些標(biāo)準(zhǔn)必須是有關(guān)機(jī)構(gòu)發(fā)布的最新版本的標(biāo)準(zhǔn)。
　　The Goods to be delivered under the Contract shall be in conformity with the standards prescribed by the technical specifications. If the appropriate standards are not applicable, the goods shall comply with the official standards specified by the People's Republic of China and the said standards shall be the latest ones released by relevant authorities.
　　四、檢驗(yàn)和測(cè)試　Inspection and Test
　　買(mǎi)方和/或其代表有權(quán)檢驗(yàn)和/或測(cè)試貨物，以確定貨物是否符合合同的要求。買(mǎi)方和/或其代表的檢驗(yàn)和/或測(cè)試不能減免賣(mài)方基于本合同應(yīng)盡的義務(wù)和應(yīng)承擔(dān)的責(zé)任。買(mǎi)方和/或其代表對(duì)貨物進(jìn)行檢驗(yàn)和/或測(cè)試不承擔(dān)額外的費(fèi)用。
　　The Buyer and/or its representative shall be entitled to inspect and/or test the goods to ascertain whether the goods meet the requirements of the Contract. The obligations to be performed by the Seller and the liabilities to be undertaken by the Seller may not be diminished or exempted under the Contract despite the inspection and test conducted by the Buyer and its representative. 　Additional expenses incurred in the process of inspection and/or test on the goods are not borne by the Buyer and/or its representative.
　　賣(mài)方應(yīng)提前三十天向買(mǎi)方發(fā)出貨物檢驗(yàn)和測(cè)試通知，該通知應(yīng)載明(包括但不限于)檢驗(yàn)和測(cè)試的內(nèi)容、時(shí)間、地點(diǎn)等信息，買(mǎi)方應(yīng)在收到該通知后十四天內(nèi)確認(rèn)是否參加上述檢驗(yàn)和/或測(cè)試。檢驗(yàn)和/或測(cè)試可以在賣(mài)方或其分包人的駐地、交貨地點(diǎn)和/或貨物的最終目的地進(jìn)行。如果任何被檢驗(yàn)或測(cè)試的貨物不能滿(mǎn)足合同的要求，買(mǎi)方可以拒絕接受該貨物。賣(mài)方應(yīng)免費(fèi)更換被拒絕的貨物，或者免費(fèi)進(jìn)行必要的修改以滿(mǎn)足規(guī)格的要求。整個(gè)安裝過(guò)程須在賣(mài)方現(xiàn)場(chǎng)技術(shù)服務(wù)人員指導(dǎo)下進(jìn)行。重要工序完成后須經(jīng)賣(mài)方現(xiàn)場(chǎng)技術(shù)服務(wù)人員簽字確認(rèn)。重要工序清單及相關(guān)技術(shù)資料由賣(mài)方于合同貨物開(kāi)始組裝前二十一天提供。
　　The Seller shall issue an inspection and test notice of goods to the Buyer 30 days in advance.
　　The notice shall set forth, including but not limited to, the contents, time and places of the inspection and test. The Buyer shall determine whether to participate in the foregoing inspection and/or test within 14 days after receipt of the notice. Inspection and/or test may be conducted at the business places of the Seller or its subcontractors, the place of delivery and/or the final destination of the goods. If the Inspection and/or test is conducted at the business places of the Seller or its subcontractor, the Buyer and/or its representatives shall have an access to all the feasible facilities and assistance, provided that the Buyer shall not bear any expenses. If any inspected or tested goods do not conform with the Contract, the Buyer may refuse to accept the said goods. The Seller shall replace the refused goods or make necessary modifications free of charge so that these goods meet the standards. The whole procedure of installation shall be carried out in the presence of the Seller's technical service personnel and under their direction. Upon completion of an important process, it must be verified by on-site technical service personnel from the Seller with signature. List of important processes and relevant technical information will be provided by the Seller within 21 days prior to the assembly of the Contract Goods.
　　賣(mài)方人員應(yīng)負(fù)責(zé)對(duì)下述工作(包括但不限于)進(jìn)行指導(dǎo)：安裝的準(zhǔn)備工作，機(jī)組和塔筒的現(xiàn)場(chǎng)安裝和裝配、接地及防雷系統(tǒng)的安裝工作，指導(dǎo)買(mǎi)方的人員按要求的精度和質(zhì)量完成安裝工作。安裝過(guò)程中，賣(mài)方現(xiàn)場(chǎng)技術(shù)服務(wù)人員應(yīng)保證在場(chǎng)且對(duì)重要工序及時(shí)進(jìn)行確認(rèn)。
　　The Seller shall be responsible to conduct the following work (including but not limited to): preparation for installation, field installation and assembly of units and towers, installation of grounding and lightning protection system and rendition of guidance when the Buyer's personnel complete the installation according to the required accuracy and quality. During installation, the Seller’s on-site technical service personnel shall be at present and confirm the important working procedures in a timely manner.
　　若買(mǎi)方按賣(mài)方技術(shù)資料規(guī)定和現(xiàn)場(chǎng)技術(shù)服務(wù)人員的指導(dǎo)、賣(mài)方現(xiàn)場(chǎng)技術(shù)服務(wù)人員簽字確認(rèn)而出現(xiàn)問(wèn)題，賣(mài)方承擔(dān)責(zé)任;若買(mǎi)方未按賣(mài)方的技術(shù)資料規(guī)定和現(xiàn)場(chǎng)技術(shù)服務(wù)人員指導(dǎo)進(jìn)行工作而出現(xiàn)問(wèn)題，買(mǎi)方自行負(fù)責(zé)(設(shè)備自身問(wèn)題除外)。
　　If any problems still arise after the Buyer has conducted its work in accordance with the stipulations of the Seller’s technical information and under the guidance of the Seller’s on-site technical service personnel and the Seller’s on-site technical service personnel have confirmed the installation by signature, the Seller shall hold the liability thereof.
　　If any problems arise from the Buyer’s failure to conduct its work in accordance with the stipulations of the Seller’s technical information and under the guidance of the Seller’s on-site technical service personnel, the Buyer shall hold the liability thereof at its own risk (except for the problems with equipment itself ).
　　貨物安裝和試運(yùn)行期間如果賣(mài)方的技術(shù)人員指導(dǎo)有誤或賣(mài)方提供的圖紙有誤和/或賣(mài)方原因造成設(shè)備缺陷和/或設(shè)備損壞等，賣(mài)方應(yīng)立即予以修補(bǔ)和/或更換，并承擔(dān)由此產(chǎn)生的相關(guān)費(fèi)用。賣(mài)方負(fù)責(zé)對(duì)貨物進(jìn)行運(yùn)行調(diào)試，包括但不限于單機(jī)調(diào)試、并網(wǎng)調(diào)試以及整場(chǎng)調(diào)試。從第一臺(tái)(套)貨物開(kāi)始至最后一臺(tái)(套)貨物安裝測(cè)試、試運(yùn)行完成為調(diào)試期，調(diào)試按場(chǎng)內(nèi)集電線路組數(shù)分批進(jìn)行。試運(yùn)行應(yīng)達(dá)到每臺(tái)(套)貨物連續(xù)無(wú)故障、正常運(yùn)行240小時(shí)，且完成國(guó)家行業(yè)規(guī)范及制造廠規(guī)定的性能測(cè)試并合格，且賣(mài)方提交合格的安裝調(diào)試報(bào)告。
　　During installation and commissioning of the goods, if any equipment defects and/or damage to equipment are caused by the Seller's technical personnel’s incorrect guidance or wrong drawings provided by the Seller or the Seller itself, the Seller shall promptly repair and / or replace such equipment and be liable for all the costs that may be incurred therefor. The Seller is responsible to debug the operation of the goods, including but not limited to stand-alone commissioning, synchronizing commissioning and entire field commissioning. The period of commissioning starts from the installation, test and trial run of the first wind turbine to those of the last wind turbine. During the commissioning period, each set of goods shall continuously, normally operate for 240 hours without any failures, undergo and pass equipment performance test stipulated by the professional standards of the state and manufacturer; the Seller shall submit qualified installation and commissioning report.
　　從第一臺(tái)風(fēng)機(jī)開(kāi)始至最后一臺(tái)風(fēng)機(jī)安裝測(cè)試、試運(yùn)行完成為調(diào)試期，試運(yùn)行應(yīng)達(dá)到每臺(tái)風(fēng)機(jī)連續(xù)無(wú)故障、正常運(yùn)行240小時(shí)，并且在此期間如出現(xiàn)額定風(fēng)速，機(jī)組應(yīng)達(dá)到額定出力。合格后賣(mài)方提交合格的安裝調(diào)試報(bào)告。調(diào)試期結(jié)束時(shí)，將簽發(fā)預(yù)驗(yàn)收證書(shū)，證書(shū)由買(mǎi)方和賣(mài)方共同簽字。在賣(mài)方完成2年質(zhì)量保證期內(nèi)的全部工作，合同設(shè)備質(zhì)保期結(jié)束并完成支付合同規(guī)定的違約金(如有)以及索賠(如有)，雙方簽署最終驗(yàn)收證書(shū)。
　　Commissioning period shall cover all the time to be spent on the installation, testing and the completion of commissioning from the first wind turbine to the last wind turbine. Each wind turbine shall be trouble-free after continuous operation of 240 hours, and during this period, if there is rated wind speed, the unit shall achieve the rated output. The Seller shall deliver a qualified installation and commissioning report after passing the commissioning. Upon the end of the commissioning period, a pre-acceptance certificate will be issued and signed by the Buyer and the Seller. Both parties will sign the final acceptance certificate on the condition that the Seller completes all the work in the 2 -year warranty period, the warranty period of the Contract Equipment expires and the Seller pays off all the penalties (if any) or claims (if any).
　　五、缺陷維修責(zé)任 Liability of Defect Repair
　　潛在缺陷指設(shè)備的隱患在正常情況下不能在制造和短期運(yùn)行過(guò)程中被發(fā)現(xiàn)。若貨物發(fā)現(xiàn)存在潛在缺陷，賣(mài)方應(yīng)及時(shí)對(duì)全部存在潛在缺陷的貨物進(jìn)行消缺、修理或更換，對(duì)糾正潛在缺陷負(fù)責(zé)并承擔(dān)相應(yīng)費(fèi)用。
　　Potential defect refers to the equipment hazards which cannot be discovered in the manufacturing and short-term operation under the existing technical conditions or normal conditions. If the potential defects of the goods are to be found, the Seller shall repair and replace them in a timely manner, and shall be responsible for the correction of these defects and bear the expenses inflicted by these endeavors.
　　買(mǎi)方代表如發(fā)現(xiàn)設(shè)備和材料存在缺陷和/或不符合本規(guī)定的標(biāo)準(zhǔn)和/或包裝要求時(shí)，有權(quán)提出意見(jiàn)并暫不予以確認(rèn)，賣(mài)方須自費(fèi)采取必要措施排除缺陷或不符合本合同規(guī)定之處，當(dāng)缺陷排除后，買(mǎi)方有權(quán)再次對(duì)貨物進(jìn)行檢驗(yàn)和測(cè)試，以保證交貨質(zhì)量。無(wú)論買(mǎi)方代表是否要求和是否知道，賣(mài)方均有義務(wù)主動(dòng)及時(shí)地向買(mǎi)方提供合同設(shè)備制造過(guò)程中出現(xiàn)的質(zhì)量缺陷和問(wèn)題，不得隱瞞，在買(mǎi)方不知道的情況下賣(mài)方不得擅自處理。
　　The Buyer's representative has the right to put forward opinions and temporarily not to make an confirmation as and when defects of equipment and materials are found and/or not in conformity with the standards and/or package requirements. The Seller must take necessary measures at his own costs to eliminate such defects or other aspects that do not comply with the provisions of the Contract. After the elimination of defects, the Buyer has the right to inspect and test the same goods once again to guarantee the quality of the delivery. The Seller has an obligation to report, without concealment, the Buyer any defects in quality and problems arising in the process of manufacture of the Contract Equipment on its own initiative in a timely manner, whether the Buyer's representatives require or know these or not and the Seller may not arbitrarily solve these problems before the Buyer knows them.
　　六、設(shè)備的保險(xiǎn)　Insurance of Contract Equipment
　　賣(mài)方應(yīng)對(duì)合同設(shè)備向買(mǎi)方項(xiàng)目公司所在地的保險(xiǎn)公司以買(mǎi)方為受益人進(jìn)行投保，使其免受一切損失或損害。賣(mài)方應(yīng)對(duì)合同設(shè)備，根據(jù)水運(yùn)、陸運(yùn)和空運(yùn)等運(yùn)輸方式，向買(mǎi)方項(xiàng)目公司所在地的保險(xiǎn)公司以買(mǎi)方為受益人投保發(fā)運(yùn)合同設(shè)備價(jià)格110%的運(yùn)輸一切險(xiǎn)，保險(xiǎn)區(qū)段為賣(mài)方倉(cāng)庫(kù)到項(xiàng)目現(xiàn)場(chǎng)安裝后90日止。
　　The Seller shall insure the contract equipment in favor of the Buyer in the insurance company where the Buyer’s project company is located to make it avoid all loss or damage. Based on mode of transportation such as by sea, land or air, the Seller shall insure 110% all risk for the Contract Equipment in favor of the Buyer in the insurance company where the Buyer’s project company is located. Also, the insurance begins until 90 days after the machine is from the Seller’s stock to the installation on site.
　　賣(mài)方應(yīng)將合同設(shè)備運(yùn)輸保險(xiǎn)合同的副本于每一批設(shè)備交貨前10日提供給買(mǎi)方。由于賣(mài)方原因未能提供以上保險(xiǎn)合同副本，其發(fā)生的連帶責(zé)任將全部由賣(mài)方承擔(dān)。
　　The Seller shall send the Buyer the duplicate of shipping insurance contract of Contract Equipment 10 days before each batch of equipment is delivered. The Seller shall bear all joint liabilities because the Seller fails to provide above copy of insurance contract on time.
　　七、伴隨服務(wù)　Accompanying Services
　　賣(mài)方提供下列服務(wù)，包括但不限于合同條款與技術(shù)規(guī)格規(guī)定的服務(wù)：
　　The Seller shall provide following services, including but not limited to the services stipulated in Contract and technical specification.
　　提供貨物及(包括但不限于)塔筒、基礎(chǔ)、通信方案等的設(shè)計(jì)、優(yōu)化、改進(jìn)，在必要時(shí)對(duì)貨物進(jìn)行改進(jìn)，及時(shí)提供相應(yīng)的技術(shù)資料，并應(yīng)保證提供的設(shè)計(jì)、優(yōu)化、改進(jìn)以及相關(guān)資料適合海上風(fēng)電場(chǎng)(潮間帶)100MW示范項(xiàng)目;提供塔筒及其配件的監(jiān)造和/或技術(shù)指導(dǎo);實(shí)施和/或監(jiān)督所供貨物的現(xiàn)場(chǎng)組裝、安裝、調(diào)試和試運(yùn)行;提供貨物組裝和/或安裝和/或維修所需的工具;
　　Provide goods (including but not limited to) and the design, optimization and improvement of tower, foundation and communication plans, when necessary, carry out improvement of the goods, provide corresponding technical data timely, and guarantee that the provided design, optimization, improvement and related technical data are suitable for Offshore Wind Farm (Intertidal Zone) 100MW Demonstration Project of Sinohydro Corporation. Provide manufacture supervision and/or technical guidance of tower and its components; Implement and/or supervise the site assembly, installation, commissioning and trial run of supplied goods; Provide tools required for assembly and/or installation and/or maintenance of supplied goods;
　　為所供的每一適當(dāng)?shù)膯闻_(tái)(套)貨物提供詳細(xì)、完整的操作和維護(hù)手冊(cè);為每一單臺(tái)(套)貨物作詳細(xì)、完整的組裝、安裝及調(diào)試記錄;對(duì)買(mǎi)方人員在賣(mài)方駐地和/或賣(mài)方分包人駐地和/或在項(xiàng)目現(xiàn)場(chǎng)就賣(mài)方所供貨物的組裝、安裝、試運(yùn)行、運(yùn)行、維護(hù)和/或修理進(jìn)行培訓(xùn)。
　　Provide detailed and complete operation and maintenance manuals for each proper set of goods; make detailed and complete record for assembly, installation and trial run for each proper set of goods; The Seller shall carry out training on assembly, installation, trial run, operation, maintenance and/or repair of the Buyer's employees at the Seller’s premises and/or the Seller’s subcontractor's premises and/or project site.
　　賣(mài)方應(yīng)提供合同條款/技術(shù)規(guī)格中規(guī)定的所有服務(wù)。為履行要求的伴隨服務(wù)的報(bào)價(jià)或雙方商定的費(fèi)用已包括在合同總價(jià)中。為履行要求的伴隨服務(wù)的報(bào)價(jià)或雙方商定的費(fèi)用已包括在合同總價(jià)中。如果賣(mài)方提供合同條款/技術(shù)規(guī)格中規(guī)定的所有服務(wù)以外其他伴隨服務(wù)且費(fèi)用未含在貨物的合同總價(jià)中，雙方應(yīng)事先就其達(dá)成協(xié)議，但其費(fèi)用單價(jià)不應(yīng)超過(guò)賣(mài)方向其他人提供類(lèi)似服務(wù)所收取的現(xiàn)行單價(jià)。
　　The Seller shall provide all the services stipulated in the Contract or technical specifications.The fees for accompanying services or expenses agreed between both parties are included in the total contract price. See Annex 1 of the Contract for details. If the Seller provides other accompanying services excluded in the Contract/technical specifications and the fee is not included in total contract price, it should be agreed between both parties in advance, but its unit price should not exceed the current expense payable by other Seller's clients.
　　八、備件供應(yīng)　Supply of Spare Parts
　　賣(mài)方提供二(2)年質(zhì)保期內(nèi)的備品備件，質(zhì)保期結(jié)束后，賣(mài)方應(yīng)補(bǔ)齊備品備件。質(zhì)保期滿(mǎn)后五(5)年內(nèi)，賣(mài)方應(yīng)保證提供的備品備件價(jià)格不高于同期市場(chǎng)價(jià)格。
　　The Seller shall provide spare parts within a warranty period of 2 years, and the Seller shall make up all spare parts after warranty period. The Seller shall guarantee to provide spare parts at a price not higher than the market price in the same period within five (5) years after warranty period.
　　在原有備件停止生產(chǎn)后，賣(mài)方有義務(wù)開(kāi)辟新的供應(yīng)渠道和/或?qū)ふ姨娲袀浼奶娲鷤浼M(mǎn)足買(mǎi)方的備件需求;如果買(mǎi)方要求，賣(mài)方應(yīng)免費(fèi)向買(mǎi)方提供替代備件的藍(lán)圖、圖紙和規(guī)格等。質(zhì)保期滿(mǎn)后五(5)年內(nèi)，賣(mài)方應(yīng)保證提供的備品備件價(jià)格不高于同期市場(chǎng)價(jià)格。
　　If the original spare parts are out of production, the Buyer shall be under the obligation to develop new supply channel and/or find substitution parts to meet the Buyer's requirements.
　　Upon the Buyer's requirement, the Seller shall offer blueprint, drawing and specification on substitution spare parts. The Seller shall guarantee that all the goods under Contract should be unused, brand new, of the latest and current model, unless otherwise provided for in the Contract. Goods shall include all latest improvement in design and materials.
　　賣(mài)方進(jìn)一步保證，合同項(xiàng)下提供的全部貨物沒(méi)有設(shè)計(jì)、材料和/或工藝上的缺陷(由于按買(mǎi)方自身原因而提出的要求設(shè)計(jì)或按買(mǎi)方的規(guī)格提供的材料所產(chǎn)生的缺陷除外)，或者沒(méi)有因賣(mài)方的行為和/或疏忽而產(chǎn)生的缺陷，這些缺陷是所供貨物在國(guó)內(nèi)現(xiàn)行條件下正常使用可能產(chǎn)生的。賣(mài)方應(yīng)在首批合同設(shè)備供貨前向買(mǎi)方提供第三方權(quán)威機(jī)構(gòu)出具的與合同貨物同型號(hào)產(chǎn)品的認(rèn)證證書(shū)。
　　The Seller further guarantees that all goods provided herein are free from any defect in design, material and/or workmanship (no including the defect due to the design requirement of the Buyer itself or manufactured according to the material provided by the Buyer), or without any defects due to the Buyer's action and /or negligence, these defects should be possible in the normal operation under current condition in our country. Before supplying the first batch of the Contract Goods, the Seller shall provide the Buyer with certificates of same model as that of Contract Goods issued by an authoritative third party.
　　質(zhì)量保證期內(nèi)，賣(mài)方應(yīng)對(duì)所提供合同設(shè)備的設(shè)備可利用率和功率曲線給予保證，貨物的可利用率和功率曲線特性的保證值見(jiàn)技術(shù)規(guī)范部分。買(mǎi)方以書(shū)面形式通知賣(mài)方保證期內(nèi)所發(fā)現(xiàn)的缺陷。
　　Within the warranty period, the Seller shall guarantee the availability and power curve of provided Contract Equipment, see technical specifications for the guaranteed values of availability and power curve for the goods. The Buyer informs the Seller of the defects found in the warranty period in writing.
　　九、售后服務(wù) After-Sales Service
　　質(zhì)量保證期從機(jī)組預(yù)驗(yàn)收證書(shū)簽署后次日，至買(mǎi)賣(mài)雙方最終驗(yàn)收書(shū)簽發(fā)生效日，時(shí)間為2年。在此期間，賣(mài)方保證貨物的正常、穩(wěn)定運(yùn)行，并對(duì)出現(xiàn)的合同貨物缺陷予以排除。
　　Warranty period shall last for two years, starting from the day following the signature of pre-acceptance certificate of the unit to the effective date of final acceptance certificate signed by the Seller and the Buyer. During this period , the Seller shall ensure the normal , stable operation of the Goods , and eliminate any defects found in the Contract Goods.
　　在質(zhì)量保證期內(nèi)，如出現(xiàn)產(chǎn)品質(zhì)量問(wèn)題，賣(mài)方應(yīng)在接到買(mǎi)方發(fā)出的設(shè)備故障信息后二十四小時(shí)內(nèi)予以響應(yīng)，并在雙方商定時(shí)限內(nèi)或七十二小時(shí)內(nèi)須到達(dá)現(xiàn)場(chǎng)開(kāi)始解決問(wèn)題。賣(mài)方應(yīng)免費(fèi)維修或更換有缺陷的貨物或部件。賣(mài)方應(yīng)自費(fèi)將被修理或更換的貨物或部件運(yùn)至項(xiàng)目現(xiàn)場(chǎng)或買(mǎi)方指定的最終目的地。
　　If there is quality problem in warranty period, the Seller shall respond to equipment failure information issued by the Buyer in 24 hours and must arrive at spot within the time agreed by both parties, or start to eliminate the problems in 72 hours. The Seller shall provide free maintenance or replacement of defective goods or parts. The Seller shall send the maintained or replaced components or goods to the project site or destination specified by the Buyer.
　　在質(zhì)量保證期內(nèi)，貨物或部件(包括但不限于葉片、變槳系統(tǒng)、發(fā)電機(jī)、變流系統(tǒng)、輪轂、偏航軸承、主軸)需要更換或修理，那么經(jīng)更換或修理的貨物或部件的質(zhì)量保證期應(yīng)為買(mǎi)方對(duì)更換或修理設(shè)備重新預(yù)驗(yàn)收合格后次日起二年。
　　If the goods or components are replaced or repaired in warranty period (including but not limited to vanes, pitch systems, generators, variable-flow systems, wheels spiders, yaw bearings, and main axle), the warranty period for replaced or repaired goods or components shall be two years starting from the following day after the Buyer carries out pre-acceptance for the replaced or repaired equipment.
　　如果有缺陷的合同設(shè)備需要調(diào)整或校準(zhǔn)而使合同設(shè)備運(yùn)行被迫停止，如其責(zé)任屬于賣(mài)方，質(zhì)量保證期應(yīng)按照停運(yùn)的時(shí)間相應(yīng)延長(zhǎng)。如果合同設(shè)備有重大缺陷，經(jīng)過(guò)修理或更換，貨物六個(gè)月后(自調(diào)試完成之日起)仍不能通過(guò)試運(yùn)行，買(mǎi)方有權(quán)要求賣(mài)方更換整臺(tái)(套)貨物。
　　When the defective equipment has to be adjusted or corrected to stop operation of the Contract Equipment, in case it is the Seller's responsibility, the warranty period shall be extended according to down time period. If the Contract Equipment has crucial defects, which cannot pass the trial run six months (starting from the date after commissioning) after it is repaired or replaced, the Buyer has the right to ask the Seller to replace the set of goods.
　　十、因設(shè)備質(zhì)量的賠償Compensation for Equipment Defect
　　賣(mài)方保證合同設(shè)備的設(shè)計(jì)使用壽命不少于二十年。貨物實(shí)際功率曲線比保證功率曲線保證值每降低百分之一(1%)，賠償該臺(tái)(套)貨物合同總價(jià)的百分之一(1%)。賠償總額不超過(guò)該臺(tái)設(shè)備總價(jià)的百分之十(10%)。
　　The Seller warrants that the designed service life for the Contract Equipment is not less than 20 years.　If the average power curve of the goods is one percent (1%) lower than guaranteed power curve, the Seller shall compensate one percent (1%) of the total contract price for the set of goods. The aggregate amount of compensation does not exceed ten percent (10%) of the total Contract Equipment price.
　　合同設(shè)備平均可利用率比保證平均可利用率保證值每降低百分之一(1%)，賠償合同設(shè)備總價(jià)的百分之一(1%)，賠償總額不超過(guò)合同總價(jià)的百分之十二(12%)。如果單臺(tái)機(jī)組可利用率低于百分之八十(80%)，賣(mài)方應(yīng)無(wú)償為買(mǎi)方更換新的合同設(shè)備。
　　If the average availability of the Contract Equipment is one percent (1%) lower than guaranteed availability, the Seller shall compensate one percent (1%) of the total Equipment Price, but the aggregate amount of compensation should not exceed twelve percent (12%) of the total Contract Price. If the availability of a single unit is lower than eighty percent (80%), the Seller shall replace this unit with a new one for free.
　　十一、不可抗力Force Majeure
　　不可抗力是指如地震，臺(tái)風(fēng)，洪水，火災(zāi)，戰(zhàn)爭(zhēng)(不管宣戰(zhàn)與否)，政府介入，罷工，國(guó)內(nèi)騷亂，不可抗力，貿(mào)易禁運(yùn)，或其他無(wú)法預(yù)料，無(wú)法防范和避免的事件。
　　Force Majeure means events such as earthquakes, typhoons, floodings, fires, wars (whether declared or not), governmental intervention, strikes, civil disorders, Acts of God, trade embargoes, or other incidents which cannot be foreseen, prevented or avoided.
　　當(dāng)一方由于不可抗力的原因而不能履行合同時(shí)，應(yīng)在15天內(nèi)以電報(bào)，傳真，通報(bào)的方式通知對(duì)方有關(guān)詳情，提供能解釋本合同或部分合同不能執(zhí)行的原因和延長(zhǎng)時(shí)限的原因的支持文件。該文件因由不可抗力發(fā)生地的授權(quán)機(jī)關(guān)出具。雙方應(yīng)根據(jù)事件對(duì)本合同履行的影響，協(xié)商決定全部或部分結(jié)束合同，或延長(zhǎng)合同履行期限。
　　Where a party is prevented by Force Majeure to perform this Contract , it shall notify the other party by telex, fax or cable and within fifteen (15) days provide details of the Force Majeure as well as effective supporting documents explaining the reasons why this Contract or any part of it cannot be performed or why the time limit of performance required to be extended. Such supporting documents shall be issued by the competent authority of the place where the Force Majeure took place. The parties shall, in accordance with the influence that the event has on the performance of this Contract , hold negotiations to decide upon the total or partial abrogation of this Contract or the extension of the period for the performance of this Contract .
　　十二、仲裁及法律適用Arbitration and Applicable Law
　　本合同適用中華人民共和國(guó)法律。如發(fā)生與本合同有關(guān)的爭(zhēng)議，雙方應(yīng)首先通過(guò)友好協(xié)商進(jìn)行解決。如在一方書(shū)面通知另一方45天內(nèi)，爭(zhēng)議仍無(wú)法通過(guò)協(xié)商解決，雙方應(yīng)將此爭(zhēng)議提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，按照該會(huì)現(xiàn)行有效仲裁規(guī)則進(jìn)行仲裁。仲裁語(yǔ)言為中文，仲裁裁決是終局的，對(duì)雙方均有約束力。
　　This contract shall be construed in accordance with and governed by the laws of the People’s Republic of China. If any disputes arise between the parties relating to or in connection with this CONTRACT, the parties shall attempt at first instance to resolve such disputes through friendly discussion. If the disputes cannot be resolved in this manner to the satisfaction of the parties within forty-five (45) days after the date that any party has notified the other party in writing of such disputes, the parties shall submit the disputes to the China International Economic and Trade Arbitration Commission for arbitration which shall be conducted in accordance with the Commission’s arbitration rules in effect at the time of applying for arbitration. The language of the arbitration shall be Chinese. The arbitration award is final and binding upon both parties.
　　十三、其他條件Other Conditions
　　This Contract shall become effective upon signature by the authorized representatives of the BUYER and the SELLER.
　　本合同由雙方授權(quán)代表簽字后即生效。
　　This Contract is made in English and in Chinese and signed in two copies as original. Each party shall retain one copy. All the commercial and technical correspondences and documents in connection with the performance of this Contract shall be in the English or Chinese. In the event of dispute, the Chinese version shall prevail.
　　本合同以中英文書(shū)寫(xiě)，一式貳份，每一方保留一份，所有的商務(wù)和技術(shù)文件及與本合同有關(guān)的文件以英文或中文書(shū)寫(xiě)，如有差異以中文版為準(zhǔn)。
